The SEC has adopted amendments that would add to the revised filing and recordkeeping requirements the agency has been implementing for the past 20 years. The amendments require the electronic filing, submission, or posting of certain forms, filings, and other submissions that national securities exchanges, national securities associations, clearing agencies, broker-dealers, security-based swap dealers, and major security-based swap participants make with the SEC. On December 12th, the SEC’s Office of the Advocate for Small Business Capital Formation issued to Congress its 2024 Annual Report, which details how entrepreneurs and investors are building companies together, from startups to small public companies. The report includes policy recommendations from the office, a summary of the office’s advocacy work and public engagements from fiscal year 2024, and the Small Business Capital Formation Advisory Committee’s fiscal year 2024 overview of activities. On December 3rd, the SEC announced that the EDGAR Filer Manual (Volume I) General Information has been amended to reflect rule and form updates, the implementation of technical changes, and other minor edits adopted in its September 2024 rulemaking. On November 27th, the SEC released the latest additions to the list of unregistered entities that use inaccurate information about their affiliation, location, or registration to solicit mainly non-US investors. This list is known as the Public Alert: Unregistered Soliciting Entities (PAUSE) list. The update adds 14 soliciting entities, two impersonators of real firms, and four bogus regulators. The SEC’s Office of Market Intelligence, in conjunction with the Office of Investor Education and Advocacy and the Office of International Affairs, periodically revises the PAUSE list.
