The SEC has adopted amendments that would add to the revised filing and recordkeeping requirements the agency has been implementing for the past 20 years. The amendments require the electronic filing, submission, or posting of certain forms, filings, and other submissions that national securities exchanges, national securities associations, clearing agencies, broker-dealers, security-based swap dealers, and major security-based swap participants make with the SEC.
Prior to this rulemaking, registrants filed with the SEC many Exchange Act forms, filings, or other materials in paper form. The amendments require registrants to make these submissions electronically using the SEC’s EDGAR system, in a structured, machine-readable data format where appropriate, or by posting them online.
Additionally, the SEC also is adopting amendments regarding the Financial and Operational Combined Uniform Single (FOCUS) Report to coordinate with other rules and forms, make technical corrections, and provide clarifications.
The adopting release is available on sec.gov and will be published in the Federal Register. The amendments will be effective 60 days following publication in the Federal Register. The compliance dates for these amendments vary depending on the applicable form or rule but range from 60 days after the release’s publication in the Federal Register to on or about June 30, 2028.
