The SEC reminds filers who have taken advantage of temporary relief measures regarding access to the EDGAR system that the required notarized authentication document must be submitted within 90 days of submitting the access application. This temporary relief (Temporary Final Rule 10(c)) was enacted because of the ongoing impacts of the COVID-19 pandemic which may have made it difficult for filers to obtain notarized documentation in a timely fashion.
If filers have submitted (or plan to submit) an application for EDGAR access pursuant to Temporary Final Rule 10(c) of Regulation S-T between March 26, 2020 and July 1, 2020, they must submit the required notarized authentication document as correspondence to EDGAR within 90 days of the day that filer submitted the application for EDGAR access. Failure to do so may result in suspension of access to EDGAR. Filers are advised to check their records or login to their EDGAR accounts to check the date they submitted the EDGAR access application.
The notarized authentication document (a PDF copy of a notarized Form ID signed by an authorized person of the entity) can be submitted as correspondence (CORRESP) on EDGAR. Instructions for submitting the notarized authentication document are available on the EDGAR - How Do I page of SEC.gov under the section “Save authentication document as a PDF File in Adobe Acrobat / Adobe Reader.” Filers can send questions via email to EDGAR_Escalations@SEC.GOV with detailed information about the filer’s situation as well as relevant contact information.
