SEC Modifies Timing for Filing Form N-PORT

The SEC has modified the timing for filing non-public Form N-PORT data to align with its approach to data management and cybersecurity. The submission deadlines for registered investment companies filing non-public monthly reports on Form N-PORT has been changed. Rather than filing non-public monthly reports within 30 days after the end of each month, funds will be required to maintain the relevant information in their records but file all three monthly reports to EDGAR no later than 60 days after the end of each fiscal quarter.

The non-public monthly reports on Form N-PORT for the first and second months of each fiscal quarter will remain non-public. However, with the exception of certain items, the monthly report for the third month will now become publicly available upon filing. The previous plan was to file the form non-publicly no later than 30 days after the end of the fiscal quarter and the form would then be made public 60 days after the end of the fiscal quarter. Because the form’s deadline is now changing to no later than 60 days after the end of the fiscal quarter, it will become public immediately when filed.


The SEC is undertaking these changes because it has determined that allowing funds to report this data at the end of the quarter rather than monthly will reduce its cyber risk profile. The amount and substance of the data contained in the form is not changing. Further, the timing of the information that will be made available to the public is not changing.


Form N-PORT is a new form for reporting both public and non-public fund portfolio holdings to the Commission in a structured data format. The related EDGAR submission types are NPORT-P for the public fund portfolio holdings and NPORT-NP for the non-public fund portfolio holdings. Filing N-PORT through the EDGAR system will begin in April 2019 for larger fund groups and in April 2020 for smaller fund groups.
