SEC Adopts Amendments to Internet Advisers Exemption Rule

On March 27th, the SEC adopted amendments to the “internet adviser exemption” rule, which allows certain investment advisers that provide investment advisory services through the internet to register with the SEC. In 2002, the SEC granted a narrow exception which allowed internet-based advisers to register with the SEC instead of with the states. The SEC proposed these rules in July 2023. SEC Overview of Rules to Enhance and Standardize Climate-Related Disclosures Now Available for Viewing

The SEC recently adopted rules under the Securities Act and Securities Exchange Act that will make it mandatory for domestic and foreign registrants to include specific climate-related data in their annual reports and registration statements. The final rules will require information about a registrant’s climate-related risks that have materially impacted, or are reasonably likely to have a material impact on, its business strategy, results of operations, or financial condition. SEC Reminds Filers to Confirm Accurate Internal Links in EDGAR Filings

On February 20th, the SEC reminded filers to confirm that internal links in their EDGAR filings are working properly before to submitting the filings on EDGAR. Electronic filers may include links to different sections within a single HTML document, such as, in exhibits filed under Item 601 of Regulation S–K. Filers should be mindful that incorrect internal links will result in errors surrounding those links when the filings are disseminated. SEC Provides Guidance on Inline XBRL Filing Fee Exhibit

The SEC has provided guidance on how to prepare and submit Inline XBRL filing fee exhibits (EX-FILING FEES) to the EDGAR system. This guidance is provided in accordance with the SEC’s Filing Fee Disclosure and Payment Methods Modernization rule, adopted in October 2021. Issue Filing Large XBRL Reports to the EDGAR System

Some time over the weekend of January 27th, EDGAR XBRL filers began experiencing an issue when submitting large XBRL filings to the EDGAR system. This issue concerns a change that was made in Arelle. Specifically, when an XBRL report is run through Arelle with too many possible dimensional combinations on a single report, Arelle now produces an error and the EDGAR System rejects the filing. FASB Releases Proposed Taxonomy Implementation Guides for 2024 US GAAP Financial Reporting Taxonomy

On January 26th, the Financial Accounting Standards Board (FASB) released two proposed Taxonomy Implementation Guides based on the 2024 US GAAP Financial Reporting Taxonomy, which is currently under consideration by the SEC. SEC Approves Rules to Improve Investor Protections Regarding SPACs, Shell Companies, and Projections

SEC Releases Draft 2024 Self-Regulatory Organizations (SRO) Taxonomy

On December 15th, the SEC announced that it adopted rule amendments related to the settlement cycle for most broker-dealer transactions, the processing of institutional trades by broker-dealers and certain clearing agencies, and certain record maintenance requirements applicable to registered investment advisers.
