SEC Approves Rules to Prevent Fraud Related to Security-Based Swaps Transactions and Prevent Undue Influence Over CCOs

On June 7th, the SEC announced that it is adopting new Rule 9j-1, which is designed to prevent fraud, manipulation, and deception related to executing or attempting to execute any transaction (including purchasing or selling, inducing or attempting to induce the purchase or sale) in a security-based swap (SBS). The rule takes into consideration the basic features of an SBS and the broad definitions of “purchase” and “sale” under the Exchange Act as they relate to SBSs. SEC Announces Form N-CEN Data Sets Available for Download

On June 2nd, the SEC announced that Form N-CEN Data Sets are now available for download. Form N-CEN is used by all registered investment companies to file annual reports with the SEC, with the exception of face-amount certificate companies. The Form N-CEN Data Sets are extracted from the eXtensible Markup Language (XML) Form N-CEN submissions. The data is displayed without change from the “as-filed” submissions and in a flattened format to provide readily available data from registrants. FERC Staff Releases 2023 Summer Energy Market and Electric Reliability Assessment

On May 18th, the FERC issued the 2023 Summer Energy Market and Electric Reliability Assessment, the report that provides the agency’s outlook for energy markets and electric reliability during the period from June 2023 to September 2023. The 2023 Summer Assessment is jointly prepared by the FERC’s Office of Energy Policy and Innovation’s Division of Energy Market Assessments and the Office of Electric Reliability’s Division of Engineering and Logistics. SEC Announces Rule Proposal and New Rule to Enhance Risk Management and Resilience of Covered Clearing Agencies

On May 17, the SEC announced proposed rule amendments that would strengthen the resilience as well as the recovery and wind-down plans (RWPs) of covered clearing agencies (CCAs) under the Securities Exchange Act of 1934. The revisions would update both the current rules concerning intraday margin and the use of substantive inputs to a CCA’s risk-based margin system. The proposed rules are now open for public comment. FASB Releases Proposal to Clarify Accounting Guidance Regarding Profits Interest Awards

On May 11th, the Financial Accounting Standards Board (FASB) released a proposed Accounting Standards Update (ASU) designed to enhance generally accepted accounting principles (GAAP) by including illustrative guidance to help entities determine whether profits interest and similar awards should be considered a share-based payment arrangement within the scope of Topic 718, Compensation—Stock Compensation. New Release (5.18b) for the GoFiler Family of Products

Version 5.18b of all applications in the GoFiler Suite has been released. This release contains a number of new features, including a new tool to edit labels globally in XBRL and XDX, a new function for validating XDX documents as XBRL, and a new extension manage to install and manage extensions/plug-ins for the GoFiler software. Additionally, improvements and corrections were made to numerous EDGAR XML forms for proofing and editing as well as to inline XBRL validation and XDX processing.
