On September 27th, the SEC adopted rule and form amendments to streamline connections to and enhance the security of the EDGAR system while improving a filer’s access and ability to manage their EDGAR accounts. These revisions are related to certain technical updates to the EDGAR system, which are commonly referred to as EDGAR Next.
The SEC opened a beta software environment on September 30, 2024 for filer testing and feedback that will reflect the EDGAR Filer Access and Account Management adopted amendments and related technical changes final rule. For information about participating in the beta testing and for additional information about the final rule and related technical changes, please visit the EDGAR Next – Improving Filer Access and Account Management webpage at sec.gov.
Under the EDGAR Next changes, the adopted rule and form amendments will:
- require electronic filers to authorize and maintain designated individuals as account administrators
- require electronic filers to take certain actions through their account administrators in order to manage their accounts on EDGAR
- require individuals acting on behalf of EDGAR filers to present individual account credentials obtained from Login.gov to access EDGAR accounts and submit filings
- allow filers only to authorize individuals as account administrators or in other roles if those individuals first obtain individual account credentials as described in the EDGAR Filer Manual
- modernize Form ID, the application for access to EDGAR, to make the form more user-friendly
- provide optional Application Programming Interfaces (APIs) to filers for machine-to-machine communication with EDGAR
Finally, the SEC is amending Volume I of the EDGAR Filer Manual to accord with these changes. Filers will have 12 months from the issuance of this release to transition to EDGAR Next. The following are additional upcoming compliance dates:
- March 24, 2025 – the effective the date for the rule and form amendments
- March 24, 2025 – the incorporation by reference of the revised EDGAR Filer Manual is approved by the Director of the Federal Register
- March 24, 2025 and December 22, 2025 – the effective dates for the EDGAR Filer Manual changes
- March 24, 2025 – the compliance date for amended Form ID
- September 15, 2025 – the compliance date for all other rule and form amendments (other than the EDGAR Filer Manual changes)
Compliance with the EDGAR Filer Manual changes is required when these changes become effective. For complete details, please see section II.H for guidance on the transition to EDGAR Next.
