SEC Releases Final 2024 Security-Based Swap (SBS) Taxonomy and Sample Documents

On June 25th, the SEC issued the Final 2024 Security-Based Swap (SBS) Taxonomy and Sample Documents designed to equip the filers and vendors using the taxonomy. The final SBS taxonomy resources are available on the SEC’s Security-Based Swap Data Repositories and Execution Facilities webpage, and the illustrative sample documents are available for download prior to the upcoming EDGAR 24.2 release that incorporates the final SBS taxonomy into EDGAR. SEC Releases Draft 2024 Security-Based Swap Taxonomy Sample Documents

The SEC issued a draft version of the security-based swap (SBS) XBRL taxonomy in March 2024 that will be used by security-based swap execution facilities (SBSEFs) to file specified information electronically with the SEC using the EDGAR system in Inline XBRL. SEC Delays Effective Date for Rule Related to Climate-Related Disclosures for Investors

On April 11th, the SEC announced that it has delayed the effective date for rules adopted in March 2024 under the Securities Act and Securities Exchange Act that require domestic and foreign registrants to include specific climate-related data in their annual reports and registration statements. The final rules require information about a registrant’s climate-related risks that have materially impacted, or are reasonably likely to have a material impact on, its business strategy, results of operations, or financial condition. SEC Issues 2024 XBRL Taxonomies Update

SEC Reminds Filers to Confirm Accurate Internal Links in EDGAR Filings

On February 20th, the SEC reminded filers to confirm that internal links in their EDGAR filings are working properly before to submitting the filings on EDGAR. Electronic filers may include links to different sections within a single HTML document, such as, in exhibits filed under Item 601 of Regulation S–K. Filers should be mindful that incorrect internal links will result in errors surrounding those links when the filings are disseminated. SEC Provides Guidance on Inline XBRL Filing Fee Exhibit

The SEC has provided guidance on how to prepare and submit Inline XBRL filing fee exhibits (EX-FILING FEES) to the EDGAR system. This guidance is provided in accordance with the SEC’s Filing Fee Disclosure and Payment Methods Modernization rule, adopted in October 2021.
