Independence Day
The SEC will be closed Thursday, July 4th in observance of Independence Day. The EDGAR System will not receive, process or accept filings on this day. Filings with a due date of July 4th will be due the following business day. SEC Updates PAUSE List of Firms Using Misleading Information to Solicit Investors
On June 24th, the SEC announced that it has revised its list of unregistered entities that use inaccurate data to solicit mainly non-US investors. This list is known as the Public Alert: Unregistered Soliciting Entities (PAUSE) list. The update adds 24 soliciting entities, six impersonators of real firms, and four bogus regulators. Revising the list of soliciting entities that have been the subject of investor complaints allows the SEC to provide information learned through reviewing tips, referrals, complaints, and other sources, helping retail investors avoid potential fraud before they invest.

SEC Publishes Trend Analysis of Custom Tag Rates in XBRL Financial Data Submitted from 2021 to 2023
On June 28th, the SEC’s Division of Economic and Risk Analysis (DERA) released a report analyzing the way filers use custom tags in their eXtensible Business Reporting Language (XBRL) submissions from 2021 to 2023. The average custom tag rate for filings in 2023 decreased compared to 2022 for Forms 10-K and 10-K/A across all filer status except the accelerated filer category.

SEC Releases Final 2024 Security-Based Swap (SBS) Taxonomy and Sample Documents
On June 25th, the SEC issued the Final 2024 Security-Based Swap (SBS) Taxonomy and Sample Documents designed to equip the filers and vendors using the taxonomy. The final SBS taxonomy resources are available on the SEC’s Security-Based Swap Data Repositories and Execution Facilities webpage, and the illustrative sample documents are available for download prior to the upcoming EDGAR 24.2 release that incorporates the final SBS taxonomy into EDGAR.

SEC Issues Draft 2024 Cybersecurity Disclosure (CYD) Taxonomy
Recently the SEC has adopted rules under which registrants are required periodically to disclose material cybersecurity instances they experience. Registrants also must disclose on an annual basis material information regarding their cybersecurity risk management, strategy, and governance. Since these disclosures are required to be in a structured data format, the SEC has released a draft XBRL taxonomy for these mandated cybersecurity disclosures.

XBRL US to Host Webinar to Promote Readiness for SEC Fee-Based Filing Payments Modernization

FERC Announces Latest eForms Refresh
On June 13th, the FERC announced that its eForms Filing API has been modified to respond with the Filing ID for all submissions. Also, the eForms system has been updated to correct the system bug that caused certain filings to fail and receive a status of “Rejected - Validation/System Error” in the eForms portal.

FERC, XBRL US to Discuss How Regulators Use Technology to Enhance Efficiency
XBRL US, in conjunction with the FERC, will host a webinar to discuss how regulators use technology to improve efficacy. At an ever-increasing rate, regulators worldwide are adopting data standards in order to enhance internal efficiency, increase flexibility, and reduce reporting burden. SEC Releases Current Draft EDGAR Filer Manual
The SEC has announced that it has released its draft of the EDGAR® Filer Manual, Volume II: “EDGAR Filing” (Version 70 ) to help issuers prepare for potential updates to the EDGAR system detailed in the draft and scheduled to be introduced in EDGAR Release 24.2 on July 1, 2024.
